New Wave 联盟项目规则

This New Wave Affiliate Program (the “Program”) is administered by New Wave Health (HK) Limited (the "Company”). By submitting the sign-up form on our website ("Application”) to participate in this Program, you are bound by and in full understanding of this New Wave Affiliate Program Policy and any attachments or linked documents hereunder (the “Policy”) and you acknowledged that we may modify any of the terms and conditions contained in this Policy, at any time and in our sole discretion, by posting a change notice or a new version on our website.

本New Wave联盟项目（下称 “项目”）由New Wave Health (HK) Limited （ 下称 “公司”）运营。通过在我们的网站上提交注册表（下称 “申请”）参与本项目，您即表示完全理解并受本New Wave 联盟项目规则以及任何附件或链接文件（下称 “规则”）的约束，并且您认可我们可以随时自行决定通过在我们的网站上发布变更通知或新版本来修改本规则中的任何条款和条件。

1 Overview

1.1 This Policy contains the complete terms and conditions that apply to you becoming an Affiliate in the Program. Your participation in the program is solely for this purpose: to legally advertise our website, products, and services to receive a commission on products purchased by your referred individuals (the “Clients”).

1.1 本规则包含您成为本项目联盟伙伴的完整条款和条件。您参与本项目的唯一目的在于：合法宣传我们的网站、产品和服务，并从您推荐的个人（下称 “客户”）购买的产品中获得佣金。

2 Joining the Program

2.1 By submitting the Application and accepted by us, you become an Affiliate of this Program. We accept company, including sole proprietorship and individually owned business, to be our Affiliates.

2.2 We will evaluate your Application and notify you of your acceptance or rejection. We may accept or reject any Application in our sole discretion. If, in our sole discretion, we determine for any reason that you are unsuitable for the Program, your Application will be rejected. If your Application is not accepted, you may reapply to the Program at any time; however, you should not link to us by any means unless you are approved for the Program.

2.2 我们将评估并通知您我们接受或拒绝您的申请。我们可自行决定接受或拒绝任何申请。如果根据我们的自由裁量，因任何原因确定您不适合该项目，您的申请将被拒绝。如果您的申请未被接受，您可以随时重新申请该项目；但是，除非您已获准加入该项目，否则您不应以任何方式声称与我们有任何关系。

2.3 You need to submit the valid personal ID or business license and bank information to us and you hereby agree that all the information you provided is true, complete and most updated. You shall be solely responsible for the information you provided.

3 Affiliate Relationship

3.1 The Affiliate can relate to itself as the “affiliate” or “brand partner” when advertising for us.

3.2 The Affiliate may advertise the Company website, products, and services via:

- Text Links or endorsements on Affiliate’s site(s);

- Graphical Banners and Buttons on Affiliate’s site(s);

- Text Links or endorsements on other websites, including personal pages at social networks, forums, and other free-to-use online communication resources;

- 在其他网站上的文本链接或背书，包括社交网络、论坛和其他免费使用的在线交流资源上的个人页面；

- Mailings to recipients who are already customers of Affiliate’s website or his subscribers provided that the recipients have the option to remove themselves from future mailings and that comply with all applicable laws.

- 向已经是联盟伙伴网站的客户或其订阅者的收件人发送邮件，前提是收件人可以选择不再接收未来的邮件，并且遵守所有适用法律。

- Other legal means, encouraging Clients to purchase Company products and services.

4 Revocation of Affiliate Status

4.1 All promotional activities undertaken by you to promote the Company products or services shall be made in accordance with reasonable and prudent business practices, the Company’s policies (which it may amend from time to time in its sole discretion) and in accordance with all applicable laws and regulations. All information obtained at the Company site from individuals linking to the Company site shall be the sole and exclusive property of Company and, except as specifically provided herein, you shall neither have access to such information nor use any device, technique or software to obtain information from the Company site.

4.1 您为推广公司产品或服务而进行的所有促销活动均应遵循合理、审慎的商业惯例、公司规则（公司可自行决定不时修改这些规则）以及所有适用法律法规。通过链接到公司网站所获得的公司网站上的所有信息应为公司的唯一和专有财产，除非本规则另有明确规定，否则您既无权抓取此类信息，也不得使用任何设备、技术或软件从公司网站获取信息。

4.2 During and after the term of your promotional activity, you will not disparage Company, the Company site or the Company products or services, or portray any of these in a derogatory or negative manner.

4.2 在您的广告宣传行为期间和之后，您不得贬低公司、公司网站或公司产品或服务，或以贬损或负面的方式描述其中任何一项。

4.3 If you violate this Policy, we are entitled to revoke your Affiliate status immediately at our sole discretion.

5 Commission

5.1 The Affiliate will receive an unique referral link or QR code (the “Link”), and the Company will track the activities through the Link for that Affiliate. The Company calculates the commission based on the tracked activities of the Link. The tracking record and the calculation of the commission is based on the data of the Company's computer system. The final amount of commission is determined by the Company at its sole discretion and not the subject to appeal.

5.2 The Company shall open a special account (the “Account”) for the Affiliate in the accounting system of the Company, which shows the full amount of the commission. For the use of the system, the Affiliate may choose among different packages and make purchase. The Company may change the packages unilaterally with notification to the Affiliate not less than one month before the change.

5.2 公司会在公司的会计系统中为联盟伙伴开设一个专用账户（“账户”），该账户显示佣金的全部金额。为了使用该系统，联盟伙伴可以选择并购买不同的套餐。公司可以在更改前至少一个月通知联盟伙伴单方面更改套餐。

5.3 The Affiliate can use the commission in its Account to buy products or services on the Company’s online store (limited to 50% of the price for each order) or make a request of withdrawal from its Account to their own bank account. The commission is calculated every two weeks and the Affiliate can make request for withdrawal at any time when the commission in the Account is $100 or more. If you are individual Affiliate, you can only use the commission in your Account to make online purchase or receive discounts, no option to withdraw.

5.3联盟伙伴可以使用其账户中的佣金在公司网上商店购买产品或服务（每笔订单中使用的金额不得超过该笔订单价格的50%）。联盟伙伴也可从其账户中直接提款到其银行账户。佣金每两周进行一次计算，联盟伙伴可在账户内佣金大于等于$100时申请提款。如果您是个人联盟伙伴，您仅能使用您账户中的佣金进行线上购买或换取折扣，不能提款。

5.4 The commission is calculated every two weeks and the Affiliate can make request for withdrawal at any time when the commission in the Account is $100 or more.

6 Other Restrictions

6.1 We may delay or withhold any payments, delivery or issuance, including the commission, the products, and any other form of benefits you earned or accrued under the Program (collectively, “Rewards”), for the purposes of investigation and may refuse to arrange for such issuance, in our sole discretion, for any actions that are fraudulent, suspicious, or in violation of this Policy. All of Company’s decisions are final and binding, including decisions as to whether a purchase is made by an Affiliate‘s referred Client pursuant to this Policy.

6.1出于调查目的，我们可能会延迟或扣留任何付款、交付或发放，包括佣金、产品和您根据项目获得或累积的任何其他形式的利益（统称“奖励”），并且我们可自行决定拒绝安排此类发放，以应对任何欺诈、可疑或违反本规则的行为。公司的所有决定都是最终决定，具有约束力，包括关于联盟伙伴邀请的客户是否根据本规则进行购买的决定。

6.2 Affiliates may not use the Program in a manner that violates any law, infringes or violates the rights of any third party, or otherwise acts in a manner that is deemed harassing, harmful, illegal, hateful, obscene or outside the spirit and intent of the Program, as such conduct will be grounds for immediate termination and disqualification from the Program and forfeiture of any Rewards earned or accrued. In addition, Affiliates may not act in an unfair or disruptive manner, or use any system, bot or other device or artifice to participate or receive any benefit in the Program. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, THE COMPANY RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

6.2联盟联盟伙伴不得以违反任何法律、侵害或侵犯任何第三方权利的方式使用本项目，或以其他被视为骚扰、有害、非法、仇恨、淫秽或违背本项目精神和意图的方式行事，因为此类行为将成为立即终止和取消本项目资格以及没收任何已获得或累积的奖励的理由。此外，联盟联盟伙伴不得以不公平或破坏性的方式行事，或使用任何系统、机器人或其他设备或手段参与或从本项目中获得任何利益。注意：任何故意破坏或破坏本项目合法运作的行为都可能违反刑法和民法。如果发生此类尝试，公司保留在法律允许的最大范围内寻求补救和损害赔偿（包括律师费）的权利，包括提起刑事起诉。

7 Taxes

All taxes applicable to any benefits provided by Company under this Policy will be your responsibility and Company shall not pay any amounts for federal, state or municipal income tax, withholding tax, social security, unemployment or worker’s compensation. If Company is required to file with the tax authority any kind of materials, then you will be required to complete and submit the tax form or materials as required by laws to Company.

本规则项下公司提供的任何利益适用的所有税款均由您承担，公司不承担任何联邦、州或市政所得税、预扣税、社会保障、失业或工人补偿金。如果公司需要向税务机关提交任何类型的材料，则您将需要按照法律要求填写并向公司提交税务表格或材料。

8 Representations and Warranties; Indemnification

8.1 You represent, warrant, and covenant that (a) you will participate in the Program and create, maintain, and operate your site in accordance with this Policy, (b) neither your participation in the Program nor your creation, maintenance, or operation of your site will violate any applicable laws, ordinances, rules, regulations, orders, licenses, permits, guidelines, codes of practice, industry standards, self-regulatory rules, judgments, decisions, or other requirements of any governmental authority that has jurisdiction over you (including all such rules governing communications, data protection, advertising, and marketing), (c) you are lawfully able to enter into contracts, (d) you have independently evaluated the desirability of participating in the Program and are not relying on any representation, guarantee, or statement other than as expressly set forth in this Policy, and (e) the information you provide in connection with the Program is accurate and complete at all times. You can update your information at any time.

8.1您声明、保证并承诺：(a) 您将参与本项目并根据本规则创建、维护和运营您的网站；(b) 您参与本项目或创建、维护或运营您的网站均不会违反任何适用法律、条例、法规、规章、命令、许可、执照、指南、行为准则、行业标准、自律规则、判决、裁定或对您有管辖权的任何政府机构的其他要求（包括所有此类管理通信、数据保护、广告和营销的规则）；(c) 您根据法律规定有能力订立合同；(d) 您已独立评估参与本项目的可取性，并且不依赖本规则中明确规定以外的任何陈述、保证或声明；(e) 您提供的与本项目相关的信息始终准确且完整。您可以随时更新您的信息。

8.2 We do not make any representation, warranty, or covenant regarding the amount of traffic or commission income you can expect at any time in connection with the Program, and we will not be liable for any actions you undertake based on your expectations.

8.2我们并不对您在任何时候就本项目所能预期的流量或佣金收入金额作出任何陈述、保证或承诺，并且我们对您基于您的预期而采取的任何行动不承担任何责任。

8.3 You agree to indemnify, defend and hold Company and its representatives and agents harmless from and against any and all third-party claims, demands, liabilities, costs or expenses, including attorney’s fees and costs, arising from, or related to any breach of this Policy or any violation of applicable laws of you. 

8.3您同意就因违反本规则或违反您适用法律而引起的或与之相关的任何及所有第三方索赔、要求、责任、成本或费用（包括律师费和成本）向公司及其代表和代理人进行赔偿、辩护并使其免受损害。

9 Privacy, Publicity, and Usage Rights

9.1 Any information you submit is subject to Company’s Privacy Policy.

9.2 Participation in the Program constitutes your consent for use of your photo, name, statements, biographical information, and/or hometown and province you provided to us in this Program for promotional or advertising purposes of this Program, on any media, worldwide, now known or hereafter developed, in perpetuity, without further review, notification, payment, or consideration (unless prohibited by law).

9.2参与本项目即表示您同意我们将您的照片、姓名、声明、个人简介和/或您在本项目中向我们提供的住址和省份用于本项目的促销或广告目的，在全球任何现有或今后开发的媒体上永久使用，无需进一步审核、通知、付款或支付对价（法律禁止的除外）。

10 Term and Termination

In its sole and absolute discretion, Company may cancel, change, suspend, or modify any aspect of the Program at any time, without notice. Company may, in its sole and absolute discretion, terminate or suspend any participation in the Program for breach of this Policy, or for taking any actions that are inconsistent with the intent of this Policy. Company reserves the right at its sole discretion to prohibit any participation in any aspect of the Program or change the commission irrespective of the value if Company deems or suspects that such Affiliate has engaged in or has attempted to engage in any of the following: (a) acting in violation of this Policy; or (b) damaging, tampering with or corrupting the operation of the Program or the Company; or (c) acting with intent to annoy, harass or abuse any other person; or (d) any inappropriate, uncooperative, disruptive, fraudulent, potentially fraudulent, or unusual behavior or activity, including inappropriate advertisements (false claims, misleading hyperlinks); illegal spamming (mass email, mass newsgroup posting, etc.); advertising on sites containing/promoting illegal activities; violation of intellectual property rights; representing yourself as an employee of the Company; in other cases, stipulated by the Affiliate Code of Conduct or other internal ethical rules published by Company from time to time; or (e) activity deemed in the sole discretion of Company to be generally inconsistent with the intended operation of the Program. Any decision Company makes relating to the termination or suspension of any Affiliate’s participation in the Program shall be final and binding in all respects. Company shall be the sole determiner in cases of suspected abuse, fraud, or breach of this Policy or intent of this Policy.

公司可全权酌情随时取消、更改、暂停或修改本项目的任何方面，无需另行通知。公司可全权酌情终止或暂停任何违反本规则或采取任何与本规则意图不符的行动的参与本项目。 如果公司认为或怀疑该联盟伙伴已参与或试图参与以下任何一项行为，公司保留自行决定禁止其参与任何项目或更改佣金（无论价值多少）的权利：（a）违反本规则；或（b）破坏、篡改或破坏项目或公司的运营；或（c）故意骚扰、骚扰或辱骂任何其他人；或（d）任何不恰当、不合作、破坏性、欺诈性、潜在欺诈性或不寻常的行为或活动，包括不恰当的广告（虚假声明、误导性超链接）；非法垃圾邮件（群发电子邮件、群发新闻组帖子等）；在包含/宣传非法活动的网站上做广告；侵犯知识产权；冒充公司员工；联盟伙伴行为准则或公司不时发布的其他内部行为规范规定的其他情况；或 (e)公司自行决定认为与项目的预期运作总体上不一致的活动。公司就终止或暂停任何关联方参与项目做出的任何决定应为最终决定并在所有方面具有约束力。 如果怀疑存在滥用、欺诈或违反本规则或本规则意图的情况，公司应是唯一的裁决者。

11 Governing Law

This Agreement shall be governed by, interpreted and construed in accordance with the laws of Hong Kong SAR. You irrevocably submit to the exclusive jurisdiction of the courts in Hong Kong, should any contractual or non- contractual dispute arise out of the Agreement.

本协议受香港特别行政区法律管辖、解释及诠释。如因本协议而产生任何合约或非合约纠纷，您不可撤回地接受香港法院的专属管辖权。

12 Limitation of Liability

To the fullest extent permitted by applicable law, no responsibility or liability is assumed by the Company for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of this Program and/or the Company: hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online or other communication problems; errors or limitations of any Internet service providers, servers, hosts or providers; garbled, jumbled or faulty data transmissions; failure of any e-mail transmissions to be sent or received; lost, late, delayed or intercepted e-mail transmissions; inaccessibility of the Program in whole or in part for any reason; traffic congestion on the Internet or the Program; unauthorized human or non-human intervention of the operation of the Program, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, worms; or destruction of any aspect of the Program, or loss, miscount, misdirection, inaccessibility or unavailability of an Account used in connection with the Program. 

在适用法律允许的最大范围内，对于因以下任何可能影响本项目和/或公司运行的事件而引起的技术问题或技术故障，公司不承担任何责任或义务：硬件或软件错误；计算机、电话、电缆、卫星、网络、电子、无线或互联网连接故障或其他在线或其他通信问题；任何互联网服务提供商、服务器、主机或提供商的错误或限制；乱码、混乱或错误的数据传输；任何电子邮件发送或接收失败；电子邮件传输丢失、延迟、延误或被拦截；因任何原因导致本项目全部或部分无法访问；互联网或本项目的流量拥堵；未经授权的人为或非人为干预本项目的运行，包括但不限于未经授权的篡改、黑客攻击、盗窃、病毒、错误、蠕虫；或项目任何方面的破坏，或与项目相关的帐户的丢失、错误计数、误导、无法访问或不可用。
